T H E   S T A T U T E
OF KYIV CITY SOCIETY FOR THE PROTECTION OF ANIMALS

Kyiv - 1991

    I. GENERAL.
  1. Kyiv city society for the protection of animals /further Society/ is a self-regulated politically neutral non-governmental organization, which is established on the basis of voluntariness, lawfulness and openness. The goals and objectives of the Society derive from a generally recognized truth that the life of every being is priceless and unique, and lie in the enforcement in city Kyiv and protection of animal rights avowed by the international community. One of the most important objectives of the Society is the establishment of the moral and legal counterpoise to inhuman actions of the municipal service for extermination and recycling of cats and dogs.

  2. The Society is guided in its activities by this Statute and the Law in force; and recognizes the priority of the protection first of all outcast and laboratory animals against genocide and cruelty, as well as the upbringing of young generation in the spirit of high moral, humanism and the love towards everything alive around us.

  3. For this purpose the Society unites the forces of individuals, work collectives of enterprises, non-governmental organizations, creative teamworks, public offices, educational institutions and socially active members.

  4. The participation of the people, public and non-governmental organizations, enterprises etc. in Society's activities includes, along with the membership, public discussion of its plans, projects, programs and actions, and wide distribution of the information about its decisions and achievements.

  5. Preferential terms apply to the Society according to current Law of Ukraine on non-governmental organizations since it's intended for collective membership of school and college pupils, vocational and high school students, and its primary function is charity and the protection of defenseless animals.

  6. The Society is a juridical person. It carries out its job in city Kyiv and the region as laid down and in accordance with the ukrainian Law in force, and may be a collective member of international organizations for animal protection.

  7. The Society has a seal, a stamp and a letter-head of standard form that carry its name.

  8. The Society and its branches are not responsible for the obligations of public institutions, enterprises and organizations, as well as the state is not responsible for the obligations of the Society.

  9. Sponsor organizations that take part in funding the Society's activities may be included in the board of administration if desired by of their representatives. The Society reports annually for the work done and the assets spent that were granted by the sponsors.

  10. The Society's legal address is 5 Artema str., Kyiv.
    10-a. The commissions of the organization extend on the territory of city Kyiv.

  11. II. SOCIETY'S ROLE AND OBJECTIVES.
  12. To reach the goals specified in assets 1 and 2 of this Statute, the Society:

    • founds Public inspection for the protection of animals and defines its statute upon the agreement with relevant state authorities;
    • establishes shelters for stray animals and promotes establishing them by individuals and companies that purpose charity;
    • collects, systemizes and forwards to appropriate bodies the citizens' complaints and other inputs individual persons' or organizations' /including state ones/ regarding cruelty towards animals, with the aim of their criminal or civil prosecution; for that purpose also performs social control over the observance of current laws on the struggle against cruelty and the protection of animals;
    • freely distributes information about its activities and goals, as well as other materials of moral, popularization and humanistic kind;
    • aiming that, collaborates with the mass-media and may perform publishing activities, continuous propaganda of Society's ideas and achievements by means of the press, radio and the TV;
    • within the bounds of ukrainial Law, organizes meetings, public performances against the cruelty towards animals, day and weeks of charity;
    • plans and coordinates activities of animal friends clubs and inspects them according to the Society's objectives and the Statute;
    • in accordance with established procedure holds consultations, seminars and conferences on the subject of animal protection, cruelty control, proper education of the people, especially the youth;
    • approaches international Animal protection societies for the purpose of information exchange and experience transfer;
    • presents to state structures, delegates of all levels and the public the findings and proposals on organization, funding, legal and moral aspects of keeping and protection of animals;

  13. The Society founds companies, cooperatives and other legal entity institutions in order to carry out the tasks as required by this Statute.

  14. The profit from the production and economical activity of aforementioned companies, as well as the Society in general, can be redistributed neither between the Society members nor the stakeholders of the organizations founded by the Society, and is used solely for accomplishing the tasks laid down in the Statute, which primary direction is animal protection and charity activity.

  15. III. SOCIETY MEMBERS, THEIR RIGHTS AND OBLIGATIONS.
  16. The membership can be personal and common.
    Public organizations, workgroups, schools, colleges, high schools, etc. may become common members, while individual citizens of Ukraine and other countries - personal members.
    Enrollment is performed on a meeting of primary organization. Each member obtains a generic membership card: "Society member for the protection of animals".
    On demand of the individual or common member the membership stops after the board decision and the discharge of membership fee.
    The member may be excluded from the Society in the case of systematic non-payment of membership dues or gross violation of the Statute. The board cancels the membership upon the review and study of relevant sources.

  17. Society members have the right to:

    • elect and be elected for all governing bodies in the Society;
    • take part in the formation and performance of the city, regional and primary Society organization;
    • submit proposals concerning improvement of the Society and reqire its organizations to consider them;
    • on the instructions of administration board, collect small monetary donations from the people;
    • apply to the police for the cooperation in controlling of the crew of Kyivspectrans: examination of the waybills, personal certificates, capturing toolkit and the presence of paralyzing baits in accordance with current law; when invalid or missing papers, or the crew holds (has in the car) neuroparalytic poisons, or the tools for inhumane capture, or other infringements detected - together with the police prohibit capturing and make a record in the waybill.
    • on ascertainment of facts of neuroparalytic tools use, application of cruel methods for capturing or keeping of animals, or violent handling of them – draw up a statement and apply to the corresponding bodies for bringing the offenders to account;
    • inspect, together with the competent authorities, utilization workshop of the capturing service, the premises where caught animals are being kept, as well as vivariums of various research institutes and laboratories;
    • apply to special forces of the police for the help in prevention and termination of delicts, which responsibility is provided for by the asset 207 of the Criminal code of Ukraine "for the cruel handling of animals".

  18. Society members are obliged to:

    • pay annual membership dues;
    • participate in the activities of the Society, contribute to achievement of objectives as laid down by the Statute;
    • exemplify proper keeping and training of animals, carry on propaganda of humane treatment of the nature and all living things that surround us;
    • allow the progeny of own cats and dogs on permission of respective clubs only, which is issued with current demand in mind;
    • in the case of unplanned progeny from own animals inform the administration board of respective club for taking an optimal decision;
    • be consistent with the morals and ethics of the Society member and popularize them among the people;
    • treat intolerable making a profit out of sale of animals and their progeny;
    • inform the administration board, administrative authorities and the law machinery about each case of cruelty towards animals for bringing offenders to account.

  19. ²V. SOCIETY FUNDS AND PROPERTY.
  20. Society funds consist of:

    • entrance members fee;
    • voluntary contributions and donations /including from abroad/; income from lectures and performances;
    • profit from the production, economical, publishing activity;
    • other profits permitted by the law;
    • deductions from profit of state and cooperative companies that produce consumer goods and souvenirs with the logo of the Society for the protection of animals.

  21. The Society wealth is used for:

    • keeping, feeding and medical treatment of animals that live in the Society shetlers, other kinds of animal protection;
    • founding, development and operation of material resources of shelters and other organizations that keep and help stray animals;
    • research, development of programs and other measures for study and approbation of humane methods of stray animals problem solution;
    • support of single and aged people, orphaned children in children's homes, blind invalids on establishing of favourable conditions for acquisition, keeping and protection of animals;
    • provision of daily work and widening of the Society;
    • encouragement of Society members and other people for active cooperation.

  22. The Society may own buildings, installations, housing resources, equipment, outfit, transportation and communication facilities, financial resources, actions, other securities, as well as the belongings necessary for the carrying on the activities according to the Statute. Society belongings and financial resources are not redistributable between Society members and are used solely for achieving the objectives as layed down by the Statute.

  23. The Society may have its own publishing house and mass communication media, other institutions that aim charity and were founded involving Society funds according to the objectives layed down by this Statute.

  24. The Society may own stray and lost home animals, as well as tame wild animals, that came to Society shelters and were not taken away by their possessors.

  25. V². SOCIETY STRUCTURE AND GOVERNING BODIES.
  26. The Society may have regional as well as primary organizations in factories, offices, educational institutions, etc.

  27. Society's highest governing organ is the City conference, which the board of administration shall summon more often than once every other year, or on demand of 1/3 of Society members.

  28. Administration board defines the representation modus only when regional or primary organizations belong to the Society.

  29. The Conference is competent when at least 2/3 of Society members are present. The decisions are taken by simple majority vote.

  30. City conference:

    • alters, amplifies and approves the Society Statute;
    • hears and approves the report of administration board and auditing commission;
    • elects the president, the administration board members, as well as auditing commission;
    • defines principal objectives and directions of Society's activity;
    • decides for Society dissolution and other points.

  31. Society board of administration is elected once every other year and governs the Society within the period between portback election meetings. The board elects vice presidents, one of them the president nominates for executive vice-president.

  32. The board of administration:

    • organizes and controls realization of the Conference decisions;
    • manages enterprises and organizations that are under the jurisdiction of the Society;
    • disposes of Society bankroll and tangible assets;
    • reviews and approves the estimate for income and expenditure of the Society.

    At that:

    • the labour of shelters service staff is remunerated by the administration board within the limits of the possible;
    • renumeration of labour of administration board members, including the president, vice-presidents, secretaries, is only performed under the condition of debit balance above 500000 krb. on Society running account.
      Annual salary schedule in all cases may not exceed 20% of the amount of Society bank account;
    • controls the realization of resolutions of the Conference, develops and approves plans and work programs, annual finance plan, as well as accomplishment reports.
    • when required, coordinates its programs and actions with concerned authorities and public organizations;
    • controls the expenses of the personnel of administration board, as well as enterprises and organizations within Society jurisdiction;
    • governs activities of Society regional organizations, hears their progress reports;
    • approves corresponding instructions and guidelines for regulation of the Society activity according to the Statute.

  33. Administration boars conferences occur on demand, at least quarterly. The Conference is competent, if at least 2/3 board members are present. Decisions are taken by simple majority vote in a voting by show.

  34. The board of administration may, when necessary, prepare and table a motion for the change of board staff in the period between portback election conferences.

  35. Society president and executive vice-president may open on behalf of the Society running and other accounts in bank institutions, other credit institutions for transferring the funds from individuals and organizations; when appropriate, close accounts according to the regulations in force and this Statute; manage the assets of the Society; conclude treaties and other agreements; supervise the performance of administration board staff; exercise the right of hire and fire of production and office workers; together with the chief accountant sign financial documents; issue letters of attorney.

  36. Society auditing commission:

    • inspects financial and economical activity of Society administration board, its regional /primary/ organizations;
    • audits the state and bookkeeping of the wealth;
    • verifies the term and the appropriateness of business execution by the staff of administration board, handling of letters, proposals and statements of the people.

  37. The liquidation of the Kyiv city society for the protection of animals is performed on a resolution of the Conference or according to the current law. The body that decided for the liquidation appoints the liquidation committee that appraises the property, indentifies creditors and debtors, settles accounts with them and strikes a liquidation balance.
    Administration board approves the liquidation balance. The property and funds remaining after the liquidation are disposed of according to the regulations.
